How it differs from an independent contractor agreement

A subcontractor works on a piece of a larger job that you owe to your own customer. That adds a few things an ordinary contractor agreement does not need: a clear scope of the piece, a rule that changes to the scope or price are agreed in writing before the work starts, a promise to hold the licenses and permits the work needs, and each side being responsible for its own negligence.

Clauses in the template

Before you use it

Construction and trade work is regulated differently in each state, including licensing and payment rules. The template does not cover those rules. Have a licensed attorney in your state review the agreement, particularly for work that involves a license, bonds or large amounts.

Build it in four steps

  1. Enter the contractor and subcontractor. Names or business names.
  2. Describe the work and price. Scope and how payment is made.
  3. Pick a payment window. 7, 15 or 30 days.
  4. Preview and edit. Change any clause before downloading.

Questions and answers

What is a subcontractor agreement?

It is a written contract between a contractor and a person or company hired to do part of the contractor's job. It sets out the work, price, schedule, who is responsible for what and how either side can end the arrangement.

Do I need a subcontractor agreement for a small job?

A written agreement is useful even on small jobs because it records the scope and price. It does not replace licensing, insurance or tax requirements. Consult a licensed attorney in your state.

Does the agreement cover insurance?

It includes a clause that the subcontractor carries insurance the law requires and gives proof on request. Specific coverage amounts are not set; add them by editing the clause.

Is this the same as the independent contractor agreement?

They share many clauses, but this one adds change orders, workmanship and licenses for work done as part of a larger job.
