General Liability Waiver and Release

Sample Business

Parties and Purpose

This Liability Waiver and Release (this "Agreement") is given by the person signing below (referred to as "Participant," "I," "me" or "my") in favor of Sample Business (referred to as "Provider"). It applies to the services or activities described below (the "Activity").

Date(s) of the Activity

Location

Acknowledgment of Inherent Risks

I understand that the Activity has risks that cannot be removed completely, even when Provider uses reasonable care. These risks can result in serious injury, illness, damage to property and, in rare cases, death. They include, but are not limited to, the following:

  • Physical activity can cause strains, sprains, falls, collisions, fatigue and other injuries.
  • Floors, stairs, wet areas, uneven ground and clutter can cause slips, trips and falls.
  • Equipment, tools or supplies can fail, tip, break, or be used incorrectly by anyone present.
  • Property in or near the location can be damaged, lost or stolen even when reasonable care is taken.
  • Travel to, from or during the Activity, whether on foot or by vehicle, carries a risk of accident.

There may be other risks that are not listed here, that are not known to me, or that cannot be foreseen. I have had the chance to ask Provider questions about the Activity.

Voluntary Participation and Assumption of Risk

I choose to take part in the Activity voluntarily. I knowingly and freely accept and assume all of the risks of the Activity, whether or not they are listed above, including the risks of ordinary negligence by the Released Parties (defined below), to the extent allowed by law.

Health and Fitness Representation

I confirm that I am in good enough health to take part, that I have no condition that would make taking part unsafe other than those I have told Provider about, and that I will stop and tell Provider if I feel unwell.

Release and Waiver of Claims

TO THE FULLEST EXTENT PERMITTED BY LAW, I RELEASE AND FOREVER DISCHARGE Provider and its owners, employees, contractors, volunteers, agents and insurers (together, the "Released Parties") from all claims, demands, losses, damages, costs and liabilities of any kind, known or unknown, that I have or may have in the future for injury, illness, death or loss of or damage to property that arises out of or relates to the Activity, including claims based on the ordinary negligence of the Released Parties.

This release does not apply to claims arising from the gross negligence or the intentional, willful or reckless misconduct of any Released Party. Those claims are not released.

This release also binds my heirs, executors, administrators, personal representatives and assigns.

Covenant Not to Sue

To the fullest extent permitted by law, I agree not to bring a lawsuit or other legal claim against any Released Party for any claim that I have released in this Agreement. This promise does not apply to claims that cannot be released by law, including the claims described in the second paragraph of the release above.

Indemnification

To the extent permitted by law, I agree to indemnify and hold harmless the Released Parties from losses, damages, liabilities and reasonable costs, including reasonable attorney's fees, that result from (a) my breach of this Agreement, (b) my own negligent or intentional acts, or (c) a claim brought by or for me, that this Agreement releases. This does not require me to cover losses caused by the gross negligence or the intentional, willful or reckless misconduct of a Released Party.

Medical Authorization

If I am injured or become ill during the Activity and cannot make decisions, I authorize Provider to call emergency services and to arrange emergency treatment. I am responsible for the resulting costs.

Severability

If a court finds any part of this Agreement to be invalid or unenforceable, that part will be limited or removed to the smallest extent necessary, and the rest of this Agreement will stay in effect.

Entire Agreement

This Agreement is the whole agreement between me and Provider about its subject. It can be changed only in a writing signed by both of us. It applies to every occasion on which I take part in the Activity unless a later signed agreement replaces it.

Governing Law

This Agreement is governed by the laws of the State of Ohio, without regard to its conflict of laws rules. Whether and how far a release is enforced can depend on the law that applies.

Acknowledgment and Signature

I HAVE READ THIS DOCUMENT, UNDERSTAND IT, AND SIGN IT VOLUNTARILY. I understand that I am giving up legal rights, including the right to sue for ordinary negligence, and that I have had the chance to ask questions and to talk to a lawyer before signing.

Independent contractor agreement

Independent Contractor Agreement

Sample Business

Parties

This Independent Contractor Agreement (this "Agreement") is between Sample Business ("Business") and Alex Rivera ("Contractor"). It starts on the date of the last signature below (the "Effective Date").

Services

Contractor will perform the following services (the "Services"): Describe the work here.

Contractor decides how, when and where to do the Services, within any deadlines both parties agree on in writing, and provides the Contractor's own tools and materials unless the parties agree otherwise in writing.

Compensation and Payment

Business will pay Contractor as follows: $30 per hour.

Contractor will send an invoice or other record of the Services completed. Business will pay undisputed amounts within 15 days after receiving it. Contractor is responsible for its own expenses unless this Agreement says otherwise.

Term and Termination

This Agreement continues until the Services are finished or until either party ends it. Either party may end this Agreement by giving the other party 14 days' written notice. Business will pay for Services properly performed up to the end date.

Either party may end this Agreement immediately in writing if the other party materially breaches it and does not fix the problem within a reasonable time after written notice.

Independent Contractor Status

Contractor is an independent contractor and not an employee, partner or agent of Business. Contractor is not entitled to employee benefits such as health coverage, paid leave or retirement benefits from Business. Neither party may bind the other to a contract.

Contractor is responsible for its own taxes and for any licenses or permits its work requires. For general information only: Business typically asks an independent contractor for a completed Form W-9 and, when the amount paid reaches the reporting threshold, typically reports payments on Form 1099-NEC. Each party should ask a qualified tax professional about its own situation.

How a worker is classified can depend on the facts of the working relationship and on state and federal law, and not only on the label in this Agreement.

Ownership of Work

Upon full payment, Business owns the finished work product that Contractor creates specifically for Business under this Agreement, except that Contractor keeps its pre-existing materials, general know-how and tools, and grants Business a non-exclusive right to use any of the Contractor's pre-existing materials that are included in the work product.

Confidentiality

Contractor will keep confidential any non-public information about Business, its customers and its business that Contractor learns through this Agreement, and will use it only to do the Services. This does not apply to information that is public through no fault of Contractor, or that the law requires Contractor to disclose. This duty continues after this Agreement ends.

Insurance

Contractor will carry the insurance that the law requires for its work and any other insurance the parties agree on in writing.

Responsibility for Claims

Each party is responsible for claims, losses and costs caused by its own negligence or willful misconduct, to the extent permitted by law.

Limitation of Liability

To the extent permitted by law, neither party is liable to the other for indirect, incidental or consequential damages, such as lost profits, and each party's total liability under this Agreement is limited to the amounts paid or payable under it. This section does not limit liability for gross negligence, fraud, or intentional or willful misconduct, or any liability that cannot be limited by law.

Dispute Resolution

The parties will first try to resolve any dispute by talking in good faith. If that does not work, either party may use the remedies available under applicable law in the courts of the State of Ohio, unless the parties agree in writing to mediation or another method.

Governing Law

This Agreement is governed by the laws of the State of Ohio, without regard to its conflict of laws rules.

General Terms

This Agreement is the whole agreement between the parties about its subject and replaces earlier discussions. It can be changed only in a writing signed by both parties. If a court finds any part invalid or unenforceable, that part is limited or removed to the smallest extent necessary and the rest stays in effect. Neither party may transfer this Agreement without the other party's written consent.

Signatures

By signing, each party confirms that it has read and understands this Agreement and agrees to it.

Parties

This Photo Release (this "Release") is given by Jordan Lee (the "Subject") to Sample Business (the "Photographer"). It covers photographs, video and audio recordings of the Subject taken by or for the Photographer (the "Images").

Grant of Rights

The Subject gives the Photographer and the people the Photographer works with permission to use, copy, edit, publish and display the Images, with or without the Subject's name, for the purposes described in this Release. The Photographer owns the Images.

Where the Images May Be Used

No Obligation to Use

The Photographer is not required to use the Images or to publish them.

Withdrawing Permission

The Subject may ask the Photographer in writing to stop using the Images in the future. The Photographer will make reasonable efforts to stop new uses after receiving the request, but cannot undo uses that have already been made, such as printed materials, items already published or copies others have shared.

Release of Claims

To the extent permitted by law, the Subject releases the Photographer from claims for invasion of privacy, publicity or similar claims based on the uses allowed by this Release. This does not release claims based on use that goes beyond this Release, or on intentional or willful misconduct.

Governing Law

This Release is governed by the laws of the State of Ohio, without regard to its conflict of laws rules. If a court finds any part invalid or unenforceable, the rest stays in effect.
